Terms of Use
1.The Agreement
This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and the developer of DiscoverFile ("Licensor," "we," or "us") governing your use of the DiscoverFile desktop software and any associated documentation (collectively, the "Software").
This Agreement takes effect when you first install, copy, download, or otherwise use the Software.
2.License Grant
Subject to your compliance with this Agreement and payment of any applicable purchase price, Licensor grants you a personal, non-exclusive, non-transferable, non-sublicensable, limited license to:
- Install and run the Software on up to two (2) devices that you personally own or control. Both device activations are for your use only and may not be shared with, loaned to, or used by any other individual.
- Make one (1) backup copy of the Software solely for archival purposes.
This license is for your personal or internal business use only. Each license key is issued to a single individual. You may not share, distribute, or disclose your license key to any other person. No other rights are granted.
If Licensor determines, in its sole discretion, that a license key has been shared with or used by unauthorized individuals, Licensor reserves the right to immediately invalidate and revoke the license key without notice or refund.
The license granted under this Agreement is non-assignable and non-transferable. You may not assign or transfer this Agreement, your license key, or any rights or obligations hereunder without Licensor's prior written consent.
3.Restrictions
You may not, and you may not permit any third party to:
- Copy, reproduce, or duplicate the Software beyond the single backup copy permitted above.
- Distribute, sell, resell, rent, lease, lend, sublicense, or otherwise transfer the Software or any rights to it to any third party.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
- Modify, adapt, translate, or create derivative works based on the Software.
- Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices contained in the Software.
- Use the Software to develop a competing product or service.
- Circumvent, disable, or tamper with any licensing, copy-protection, or security mechanism in the Software.
- Use the Software in any manner that violates applicable law or regulation.
Any use of the Software not expressly permitted by this Agreement is a breach of this Agreement and may violate copyright, trademark, and other laws.
4.Intellectual Property Ownership
The Software, including its source code, object code, design, structure, graphics, user interface, and all related documentation, is the exclusive intellectual property of Licensor and is protected by copyright law, trade secret law, and other applicable intellectual property laws and treaties.
This Agreement does not transfer any ownership interest in the Software to you. You acquire only the limited license rights expressly set forth in Section 2. All rights not expressly granted are reserved by Licensor.
"DiscoverFile" and any associated logos or marks are the property of Licensor. Nothing in this Agreement grants you any right to use them.
Any feedback, suggestions, or ideas you provide regarding the Software ("Feedback") shall be considered non-confidential and Licensor shall have the right to use such Feedback without restriction or compensation to you.
5.Privacy & Data
DiscoverFile is designed to operate offline apart from periodic license validation checks. All file metadata indexed by the
Software is stored exclusively in a local SQLite database on your own computer
(%LOCALAPPDATA%\DiscoverFile\).
No personal data, file contents, or usage analytics are collected, transmitted, or
stored on any remote server.
Limited network connections. The Software may make the following outbound network requests, and no others:
- Update checks — When you use the
"Check for Updates" feature, the Software contacts GitHub
(
api.github.com) to determine whether a newer version is available. Only your current version number is transmitted; no personal data, file data, or device identifiers are sent. - License validation — The Software includes a license key system, a periodic validation request may be made to a Licensor-operated server. Only the license key and a machine identifier are transmitted. Once validated, the Software operates offline without further network calls.
- Google Maps links — The Photo Map feature allows you to open a photo's GPS location in Google Maps. Clicking this link opens your default web browser and sends the GPS coordinates extracted from the file's EXIF metadata to Google. This action is user-initiated only and is governed by Google's own Privacy Policy and Terms of Service.
Apart from the above, the Software makes no network connections. No account is required to use the Software. All core functionality — indexing, searching, browsing, and exporting — works entirely offline.
5.5User Files and Data Responsibility
DiscoverFile is a read-only indexing tool. It does not modify, delete, move, or alter any of your files or file contents in any way. All indexing is performed locally on your device using only file metadata.
You are solely responsible for maintaining your own backups of all files and data. Licensor is not responsible for any loss, corruption, or damage to your files, data, or system, regardless of whether such loss is alleged to result from use of the Software. You assume all risk associated with the use of the Software in connection with your files.
6.Updates & Support
Licensor may, at its sole discretion, provide updates, patches, or new versions of the Software. There is no obligation to provide further updates, ongoing support, or new features. Any update provided is subject to this Agreement unless accompanied by a separate license.
When an update is available, the Software may notify you and offer to download and install it. Updates are delivered over HTTPS and are cryptographically signed to ensure authenticity. You may choose to defer or decline any update; however, declining updates may result in reduced functionality or unpatched security issues.
7.Third-Party Components
The Software incorporates open-source and third-party libraries, each governed by its
own license terms (e.g., MIT, Apache 2.0, BSD). A complete list of these components,
along with their copyright notices and license texts, is provided on the
Open Source Licenses
page and is bundled in the installation directory as
THIRD_PARTY_LICENSES.txt.
Nothing in this Agreement limits or supersedes the rights granted to you under those open-source licenses with respect to the open-source components themselves. However, the DiscoverFile application as a whole, including its proprietary code, user interface, and design, remains subject to the terms of this Agreement.
8.Purchases & Refunds
The Software is offered as a one-time purchase. "Lifetime license" means for the useful life of the Software as determined by Licensor, not the lifetime of the User. Licensor reserves the right to discontinue the Software, cease providing updates, support, license validation services, or any other services at any time, for any reason, without obligation or liability to you. Due to the nature of digital software that can be immediately downloaded and used, no refunds, exchanges, or credits will be issued after purchase. To the maximum extent permitted by applicable law, all sales are final.
If you experience a technical issue that prevents the Software from functioning on a supported system, please contact us (see Section 17) before initiating a dispute with your payment provider. We will make reasonable efforts to resolve the issue.
9.Eligibility
You must be at least eighteen (18) years of age to purchase, install, or use the Software. By using the Software, you represent and warrant that you meet this age requirement. If you are under 18, you may not use the Software under any circumstances.
10.Indemnification
You agree to indemnify, defend, and hold harmless Licensor and its affiliates, officers, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Software; (b) your violation of this Agreement; or (c) your violation of any applicable law or regulation, or the rights of any third party.
11.Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR ERROR, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU ASSUME ALL RISKS ASSOCIATED WITH THE USE OF THE SOFTWARE, INCLUDING THE RISK OF DATA LOSS OR CORRUPTION. LICENSOR SPECIFICALLY DISCLAIMS ANY WARRANTY REGARDING THE ACCURACY OR COMPLETENESS OF FILE INDEXING OR ANY IMPACT ON YOUR FILES OR SYSTEM REQUIREMENTS.
12.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL LICENSOR'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THIS AGREEMENT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you in full.
13.Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically, without notice from Licensor, if you fail to comply with any term of this Agreement.
Upon termination, you must immediately cease all use of the Software and destroy all copies of the Software in your possession or control, including any backup copies.
Sections 3, 4, 8, 10, 11, 12, 14, 15, and 16 survive any termination or expiration of this Agreement.
14.Governing Law & Disputes
This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law principles. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Linn County, Oregon.
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
In any action or proceeding to enforce this Agreement, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.
14.5Force Majeure
Licensor shall not be liable for any failure or delay in performing its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, pandemic, government action, power or internet outages, failure of third-party infrastructure or hosting providers, cyberattacks, or any other event beyond Licensor's reasonable control. This includes, without limitation, the unavailability of license validation servers or any cloud infrastructure on which such services depend.
15.Changes to this Agreement
Licensor reserves the right to modify or update this Agreement at any time. Updated terms will be included with new versions of the Software and posted at DiscoverFile.com/terms. The "Last updated" date at the top of this Agreement will be revised accordingly.
By installing an update that includes revised terms, or by continuing to use the Software after updated terms have been made available, you accept and agree to the revised Agreement. If you do not agree to the updated terms, you must stop using the Software and uninstall it. You may continue using the last version of the Software whose terms you accepted, subject to those prior terms, but you will not receive further updates or support.
Licensor is not obligated to provide individual notice of changes to this Agreement. It is your responsibility to review the current terms periodically.
16.Entire Agreement
This Agreement constitutes the entire agreement between you and Licensor with respect to the Software and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties. Any waiver of any provision of this Agreement will be effective only if in writing and signed by Licensor.
